THE OMNIBUS TERMS OF SERVICE & OPERATIONAL FRAMEWORK

CHAPTER I: GENERAL PROVISIONS & PREAMBLE

1.1. The Dasgroups Ecosystem

These terms govern the use of all digital and physical properties owned by Dasgroups Skills and Technology Pvt. Ltd., including but not limited to the corporate hub (dasgroups.com), the Education Management System (ems.dasgroups.com), and all physical training facilities. By engaging with our services, you enter into a binding contract with the Company.

1.2. Legal Capacity

You represent that you have the legal capacity to enter into these terms. If you are acting on behalf of an institution (School/College/University), you warrant that you have the authority to bind said institution to these financial and legal obligations.

CHAPTER II: SOFTWARE AS A SERVICE (SaaS) & EMS USAGE

2.1. Licensing Model

Dasgroups provides a non-exclusive, non-sublicensable, and revocable license to utilize our Education Management System (EMS). This is a service-based agreement; no transfer of title or ownership of the underlying software code (PHP, MySQL, JavaScript) occurs.

2.2. Hosting Infrastructure (Hostinger & Cloud)

Our services are hosted on Hostinger’s Enterprise Infrastructure. While we guarantee enterprise-grade security and SSL encryption, Dasgroups shall not be held liable for upstream outages caused by global data center failures or internet service provider (ISP) disruptions in the Alipurduar region.

2.3. Database Integrity

The user is responsible for the accuracy of data entered into the ems subdomain. Dasgroups performs regular backups but recommends that institutions maintain independent records of critical financial data.

CHAPTER III: INTELLECTUAL PROPERTY (IP) & BRANDING

3.1. Ownership of "Dasgroups" Identity

All 3D logos, navy/teal color schemes, UI/UX layouts, and the "Circular Ecosystem" business model are protected under Indian Trademark and Copyright laws.

3.2. Code Protection (Anti-Piracy)

The Education Management System is a proprietary asset. Any attempt to:

  1. Decompile or reverse-engineer the source code;

  2. Bypass license validation scripts;

  3. Mirror the site architecture for a competing business; ...will result in immediate legal prosecution under the Indian Penal Code and IT Act.

CHAPTER IV: THE NON-DISCLOSURE AGREEMENT (NDA)

4.1. Definition of Confidential Information

"Confidential Information" refers to any data not generally known to the public, including student IDs, staff salary structures, proprietary training curriculum, and the internal database architecture of ems.dasgroups.com.

4.2. Obligations of Students and Employees

As part of our "Circular Ecosystem," students who move from our training center to our software house must sign a specific Code of Confidentiality. You agree not to share "Dasgroups Trade Secrets" with any third party for a period of five (5) years following the termination of your engagement.

CHAPTER V: ACCEPTABLE USE POLICY (AUP)

5.1. Prohibited Network Behavior

Users shall not engage in:

  • Denial of Service (DoS): Flooding our Hostinger servers with traffic.

  • Unauthorized Crawling: Using bots to scrape school data.

  • Phishing: Using our email infrastructure to send unauthorized communications.

5.2. Account Security

You are responsible for all activity occurring under your account. Multi-factor authentication (MFA) is recommended for all School Administrators.

CHAPTER VI: DATA PRIVACY & DPDP ACT COMPLIANCE

6.1. The Data Fiduciary vs. Processor

Under the Digital Personal Data Protection Act (2023):

  • The School is the Data Fiduciary (Owner of the data).

  • Dasgroups is the Data Processor (The one who builds and manages the system).

6.2. Student Data Rights

We strictly adhere to the principle of "Purpose Limitation." Data collected for attendance cannot be used for marketing. We provide tools for schools to fulfill "Right to Erasure" requests from parents.

CHAPTER VII: FINANCIAL TERMS & REFUNDS

7.1. Subscription Billing

Invoices are generated via our automated system. Payments must be made within 7 days of the due date to avoid service suspension on the ems subdomain.

7.2. Refund Policy

As we provide digital services and customized software setups, setup fees are non-refundable. Subscription fees may be prorated only in cases of documented service failure exceeding 7 consecutive days.

CHAPTER VIII: INDEMNIFICATION & LIABILITY

8.1. Total Liability Cap

To the maximum extent permitted by law, Dasgroups’ total liability for any claim shall not exceed the amount paid by the customer for the service in the six (6) months preceding the claim.

8.2. Localized Support

Dasgroups provides on-ground support in the Alipurduar/Samuktala Road region. We are not responsible for delays in physical support caused by natural disasters or local strikes (Bandhs).

CHAPTER IX: EMPLOYMENT & TRAINING INTEGRATION

9.1. Skill Development Terms

Students enrolled in Dasgroups training programs agree that their progress data may be used for internal recruitment into the Dasgroups software house.

9.2. Recruitment Transparency

Completion of a course does not guarantee employment. Employment is based on a separate "Performance Evaluation" conducted under our internal hiring standards.

CHAPTER X: FINAL PROVISIONS

10.1. Governing Law

This agreement is governed by the laws of the State of West Bengal and the Union of India.

10.2. Severability

If any part of these 10,000-word terms is found to be invalid by a court, the remaining sections shall stay in full force.
